So far, the best I have found is called Handbrake.

Totally worth the $37 to get the AVS4YOU suite which would do what you ask and assloads more ... Heck, maybe you already own it![]()

I use ffmpeg with the following arguments -
ffmpeg -i "video.flv" -b 300k -s 480x320 -vcodec libxvid -ab 128k -ar 24000 -acodec libfaac "output.mp4" -qscale 1 -vol 1024
free and reasonably quick.

I second Handbrake, it's free and it has presets for iPod, iPad, and all that other iCrap out there.
Ughh.. I'd rather saw my hand OFF than use Handbrake. Horrible piece of software. I'm sure it does the job, but I'd rather recreate a Picasa with GIMP.
